Terms of Service

These Terms govern access to and use of Holter. Holter is a monitoring tool and safety net, not a guarantee that every outage, failure, or alert condition will be detected or delivered.
1. Agreement
Holter is operated by Wonderful Software LLC, a Delaware limited liability company ("Holter," "we," "us," or "our"). These Terms are a binding agreement between us and the person or entity accessing or using Holter ("you"). By creating an account, accessing, or using Holter, you agree to these Terms and our Privacy Policy. If you use Holter for an organization, you represent that you have authority to bind that organization.
2. Business use
Holter is intended for business and professional use, not personal, household, emergency, life-safety, medical, or high-risk use. You may not use Holter where failure of the service, a missed alert, or an inaccurate result could reasonably lead to death, personal injury, severe property damage, or other high-risk harm.
3. The service
Holter may provide endpoint checks, certificate checks, DNS/domain checks, TCP checks, heartbeats, alerts, incidents, status pages, API access, agent-assisted setup, and related features. Features may vary, change, be limited, be suspended, or be discontinued at any time. We may impose or modify technical, operational, security, usage, or plan limits.
4. Authorized use
You may only monitor systems, URLs, domains, IPs, ports, email addresses, alert channels, status pages, and other targets that you own or are expressly authorized to monitor. You represent and warrant that you have all rights and permissions needed for every target, configuration, notification destination, and status-page item you provide.
You may not use Holter to scan, probe, attack, overwhelm, disrupt, or gain unauthorized access to systems; violate law or third-party rights; transmit harmful or unlawful content; misrepresent status information; interfere with the service; bypass limits; reverse engineer the service except as allowed by law; or use Holter in a way that creates risk, legal exposure, or operational harm.
We may throttle, block, suspend, remove, or terminate access, targets, checks, pages, or content at our discretion where we believe it is necessary to protect Holter, users, third parties, or ourselves.
5. Account responsibility
You are responsible for all activity under your account and team, including activity by members you invite and anyone who obtains your credentials, tokens, heartbeat URLs, webhook URLs, or other secrets. You must keep credentials and tokens confidential, use reasonable security practices, and notify us promptly of suspected unauthorized access.
6. Plans, trials, and payment
Some features require a paid subscription, billed through our payment provider (Stripe). A paid plan may start with a free trial (currently 14 days on paid plans): we collect a payment method when the trial begins, you keep full access during the trial, and billing starts when the trial ends unless you cancel before then. Paid subscriptions renew automatically for the billing period you selected until you cancel, and you authorize recurring charges for your plan plus applicable taxes until cancellation.
You can cancel at any time; cancellation takes effect at the end of the current billing period, and you keep access until then. Except where required by law or expressly agreed by us in writing, payments and renewals are non-refundable and we do not prorate partial periods. You are responsible for taxes and any payment-provider requirements.
7. Reliability goals (not a service-level guarantee)
We would rather show you our real track record than make a promise we cannot keep. We hold ourselves to an internal reliability objective: a current goal of 99.5% "hard-down" availability for the Holter application and API each calendar month — where "hard down" means the service is unreachable or failing its health check, measured from outside our own infrastructure (roughly 3.6 hours of full-outage budget per month). Brief slowness, a single degraded feature, background-job lag, and planned maintenance are tracked separately and do not count as hard-down. We aim to beat this goal, and we intend to publish our live, externally measured uptime so the figure you see is our actual record rather than a claim.
This is a goal we engineer toward, not a binding service-level agreement. Unless we expressly agree to one in a separate written agreement or plan-specific contract, Holter provides no uptime guarantee, service-level commitment, service credit, refund, or other remedy if a goal is not met, and any target may change as the service evolves. Any beta, preview, free, trial, or experimental feature is provided as-is and may change or end at any time.
8. Monitoring is not a guarantee
Holter is a supplementary tool. We do not warrant that any check, heartbeat, scan, alert, notification, status page, API response, agent-assisted workflow, or integration will be accurate, complete, uninterrupted, timely, secure, or error-free. We do not warrant that Holter will detect every outage, incident, degraded state, missed job, certificate issue, domain issue, DNS issue, security issue, or configuration problem.
You remain solely responsible for your systems, operations, backups, redundancy, security, incident response, and independent monitoring appropriate to your risk. You agree not to rely on Holter as your only means of detecting outages, failures, data loss, security incidents, or other operational problems.
9. Third-party services
Holter depends on third-party services, networks, providers, APIs, probe networks, email systems, DNS systems, hosting platforms, browsers, payment providers, identity providers, and the public internet. We are not responsible for third-party services, their availability, their acts or omissions, or data they process under their own terms.
10. Your data and content
You retain ownership of your configuration, content, and data. You grant us the rights needed to host, process, transmit, display, monitor, analyze, and otherwise use that data to provide, secure, support, maintain, and improve Holter. You are responsible for the legality, accuracy, and appropriateness of your targets, status-page content, subscriber lists, alert destinations, and configuration.
11. Intellectual property
Holter, including its software, design, marks, content, and technology, is owned by Wonderful Software LLC or its licensors and is protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use Holter. No rights are granted except as expressly stated.
12. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLTER IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND ERROR-FREE OPERATION. NO ADVICE OR INFORMATION CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WONDERFUL SOFTWARE LLC, HOLTER, AND OUR OWNERS, PERSONNEL, CONTRACTORS, SUPPLIERS, AND PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES; LOST PROFITS; LOST REVENUE; LOST DATA; LOST GOODWILL; BUSINESS INTERRUPTION; SUBSTITUTE SERVICES; SECURITY INCIDENTS; MISSED, DELAYED, FALSE, OR FAILED CHECKS OR ALERTS; SERVICE UNAVAILABILITY; OR THIRD-PARTY ACTS OR OMISSIONS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, WARRANTY, STATUTE, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO HOLTER WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. ANY CLAIM MUST BE BROUGHT WITHIN ONE YEAR AFTER IT AROSE OR IT IS PERMANENTLY BARRED. These limits apply even if a remedy fails of its essential purpose.
14. Indemnification
You will defend, indemnify, and hold harmless Wonderful Software LLC, Holter, and our owners, personnel, contractors, suppliers, and providers from and against claims, damages, liabilities, losses, costs, and expenses arising out of or related to your use of Holter, your targets or configuration, your status pages or content, your users or subscribers, your breach of these Terms, your violation of law, or your violation of third-party rights.
15. Suspension and termination
You may stop using Holter at any time. We may suspend, limit, or terminate access immediately if we believe you violated these Terms, created risk, caused harm, failed to meet payment obligations, or exposed us or others to potential liability. After termination, your right to use Holter ends. Provisions that by nature should survive will survive, including ownership, disclaimers, limitations of liability, indemnification, dispute terms, and general provisions.
16. Governing law and disputes
These Terms are governed by Delaware law, without regard to conflict-of-law rules. Subject to the arbitration provision below, the exclusive venue for disputes is the state and federal courts located in Delaware, and you consent to their jurisdiction.
Any dispute that cannot be resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, except either party may bring a qualifying claim in small-claims court. YOU AND HOLTER WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. You may opt out of arbitration within 30 days after first accepting these Terms by emailing [email protected].
17. Force majeure
We are not responsible for failure or delay caused by events beyond our reasonable control, including third-party outages, network failures, internet issues, labor disputes, government actions, war, terrorism, natural disasters, emergencies, or other force-majeure events.
18. Changes
We may update these Terms from time to time. The updated version will be posted here with a new date. Continued use after changes take effect means you accept the updated Terms.
19. General
These Terms and the Privacy Policy are the entire agreement about Holter unless a separate written agreement expressly says otherwise. If a provision is unenforceable, the rest remains in effect and the provision will be enforced to the maximum extent permitted. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, financing, reorganization, or sale of assets.
